1. Introduction

These Terms and Conditions govern access to and use of the AVE Africa Motor Claims Management Platform by insurers, claimants, assessors, repairers, brokers, investigators and other authorised users. By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the platform.

2. Definitions

Application — the AVE Africa Motor Claims Management Platform, including web portals and mobile applications.

User — any authorised individual or entity accessing or using the platform.

Claim — a motor insurance claim submitted, managed or processed through the platform.

Insurer — a licensed insurance company using the platform to manage claims.

Personal Data — any information relating to an identified or identifiable natural person.

Services — all features, functions and capabilities made available through the platform.

Content — all data, text, media, documentation and other material submitted to or generated by the platform.

3. Eligibility and Authority

Users must have full legal capacity and, where acting on behalf of an organisation, must have the authority to bind that organisation to these Terms. The platform is not available to persons under 18 years of age.

4. Scope of Services

The platform supports:

  • First Notification of Loss (FNOL) and claims registration
  • Claims workflow management and status tracking
  • Assessments, repair authorisation and supplier coordination
  • Document management and media storage
  • Stakeholder communication and notifications
  • Analytics, reporting and audit trails

5. User Accounts and Authentication

Users are responsible for maintaining the confidentiality of their login credentials, complying with multi-factor authentication (MFA) requirements, and promptly reporting any suspected unauthorised access to AVE Africa. You are liable for all activity conducted under your account credentials.

6. Acceptable Use

The platform may only be used for legitimate insurance and claims-related purposes. Users must comply with all applicable laws and must not use the platform in any manner that could cause harm to AVE Africa, other users, or any third party.

7. Prohibited Activities

The following are strictly prohibited:

  • Submitting fraudulent, false or misleading claims or data
  • Introducing malware, viruses or other harmful code
  • Attempting unauthorised access to any system or account
  • Scraping, harvesting or bulk-exporting platform data
  • Reverse engineering, decompiling or disassembling the platform
  • Any other misuse, abuse or circumvention of platform controls

8. Claims Processing Disclaimer

AVE Africa provides technology services only and does not make claim settlement decisions. All coverage determinations, liability assessments and settlement decisions remain the sole responsibility of the relevant insurer.

9. Data Ownership

Customer and claim data remain the property of the insurer or the lawful data owner. AVE Africa does not claim ownership of any data submitted by users or insurers through the platform.

10. Intellectual Property Rights

All software, workflows, interfaces, trademarks, logos, and documentation associated with the AVE Africa platform are the exclusive intellectual property of AVE Africa Solutions. No licence is granted to users beyond what is strictly necessary to access and use the services under these Terms.

11. Confidentiality

Users must protect all confidential information obtained through the platform and must not disclose it to unauthorised parties. This obligation survives any termination of access and continues for as long as the information remains confidential.

12. Third-Party Integrations

The platform may integrate with payment gateways, mapping services, SMS and email providers, and government systems. AVE Africa is not responsible for the availability, accuracy or actions of these third-party services.

13. Service Availability

AVE Africa targets high service availability and will provide advance notice of planned maintenance where practicable. We are not liable for downtime caused by force majeure events, third-party failures, or circumstances outside our reasonable control.

14. Information Security

We implement encryption, access management, monitoring and audit logging. Users are required to maintain secure practices on their end and must report any known or suspected security incidents to AVE Africa immediately.

15. Limitation of Liability

To the maximum extent permitted by applicable law, AVE Africa shall not be liable for indirect, incidental, special or consequential losses. Our total aggregate liability shall not exceed the amounts paid by the relevant party for the services in the three months preceding the event giving rise to the claim.

16. Indemnity

Users agree to indemnify and hold AVE Africa, its officers, employees and partners harmless from any claims, losses, liabilities, damages, costs and expenses arising from their misuse of the platform, breach of these Terms, or unlawful activities.

17. Suspension and Termination

AVE Africa may suspend or terminate access without prior notice in the event of fraud, a security incident, material contractual breach, or non-payment. Users may request termination by providing written notice in accordance with their service agreement.

18. Regulatory Compliance

Users are responsible for compliance with applicable insurance regulations, the Kenya Data Protection Act, anti-fraud legislation, and cybersecurity requirements in their jurisdiction. AVE Africa maintains compliance with applicable laws at the platform level.

19. Dispute Resolution

Disputes shall first be addressed through good-faith negotiation between the parties. Unresolved disputes shall be referred to mediation, and failing that, to binding arbitration conducted in accordance with Kenyan law. The courts of Kenya shall have non-exclusive jurisdiction.

20. Amendments

AVE Africa reserves the right to update these Terms and Conditions at any time. Notice of material changes will be provided through the platform with reasonable advance notice. Continued use of the platform after the effective date of changes constitutes acceptance of the revised Terms.
